Terms of Service

The agreement between you and Index.brain.

These Terms of Service ("Terms") govern your access to and use of Index.brain, operated by Index Brain ("we", "us", or "our"). By creating an account or using the service, you agree to be bound by these Terms. If you do not agree, do not use the service.

Eligibility

You must be at least 18 years old and have the authority to enter into a binding agreement to use Index.brain. If you are using the service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms, and these Terms apply to that entity.

What Index.brain does

Index.brain is a knowledge extraction and delivery service. It connects to your company's tools (Gmail, Slack, Notion, GitHub, and others), extracts structured knowledge from the content in those tools, organizes that knowledge into skills, and delivers those skills to AI agents you authorize via MCP or REST API. We do not store raw emails, messages, or documents. We extract and store only the knowledge derived from them.

Your account

You are responsible for maintaining the security of your account. You must not share your login credentials or API keys with unauthorized parties. You are responsible for all activity that occurs under your account. If you believe your account has been compromised, notify us immediately at support@indexbrain.online.

Your data and ownership

You own your data. By connecting integrations, you grant Index.brain a limited, non-exclusive license to read and process that data for the sole purpose of building and delivering your company brain. We do not claim ownership of any content you connect or any skills extracted from it.

You are responsible for ensuring you have the legal right to connect the data sources you choose. If you connect a tool that contains personal data of your employees or customers, you are responsible for ensuring that such processing is lawful under applicable privacy laws.

AI agents and API access

You are responsible for the AI agents you authorize to access your skills. Index.brain delivers skills to agents you configure, and we are not responsible for how those agents use the knowledge delivered to them. You must not grant unauthorized third parties access to your MCP server URL or API keys.

Acceptable use

You agree not to:

Use Index.brain to process illegal content or content that violates others' rights
Attempt to circumvent, disable, or interfere with any security features of the service
Resell, sublicense, or provide access to the service to third parties without our written permission
Use the service to scrape or harvest data in a way that violates the terms of the source tools you connect
Attempt to reverse-engineer, decompile, or extract our proprietary systems or prompts
Use the service in any way that could damage, overload, or impair our infrastructure
Connect data sources containing sensitive personal data (health records, financial data, legal records) without explicit written agreement with us

Intellectual property

Index.brain and all associated technology, software, designs, and methods are owned by Index Brain and protected by intellectual property law. Your use of the service does not transfer any ownership rights to you. The skills and structured knowledge extracted from your data belong to you. We have no claim over the output we generate for your account.

Service availability and processing

We aim to keep Index.brain available at all times but do not guarantee uninterrupted access. Knowledge extraction and processing happens on a scheduled cycle, not in real time. Processing may take several hours to complete after new data is connected. We may perform maintenance that temporarily limits access and will provide advance notice when possible.

We are not liable for any loss or damage resulting from service downtime, processing delays, or incomplete extraction of knowledge from your connected tools.

Rate limits and fair use

API and MCP access is subject to rate limits based on your plan. Exceeding limits will result in a temporary block, not account suspension. Repeatedly and deliberately circumventing rate limits may result in account review. We reserve the right to adjust rate limits with reasonable notice.

Payment and billing

Some features of Index.brain require a paid subscription. Pricing details are available at indexbrain.online. Subscriptions renew automatically unless cancelled before the renewal date. We do not offer refunds for partial billing periods. If you downgrade or cancel, you retain access until the end of your current billing period.

Disclaimer of warranties

Index.brain is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be error-free, that extracted knowledge will be complete or accurate, or that the service will meet your specific requirements. AI-extracted knowledge may contain errors. You are responsible for verifying any critical information before acting on it.

Limitation of liability

To the fullest extent permitted by law, Index Brain shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, including but not limited to loss of data, loss of profits, or damage to reputation, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of these Terms or your use of the service shall not exceed the greater of (a) the total amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

Indemnification

You agree to indemnify and hold harmless Index Brain and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third party's rights.

Termination

You may stop using Index.brain and delete your account at any time from your settings. We may suspend or terminate your account if you violate these Terms, with or without notice. Upon termination, your license to use the service ends and all your data is permanently deleted within 24 hours.

Changes to these terms

We may update these Terms from time to time. For material changes, we will notify you by email at least 30 days before the changes take effect. For non-material changes such as corrections or clarifications, we may update with shorter notice. Continued use of the service after changes take effect constitutes your acceptance of the updated Terms.

Governing law and disputes

Any dispute arising from these Terms or your use of Index.brain shall first be attempted to be resolved through good-faith negotiation between the parties. We are committed to resolving disputes fairly and quickly. Contact us at legal@indexbrain.online before pursuing any formal action.
